Terms and conditions

Note: In this document, I/me refers to Priority Copy/Natalie Prior.

It’s important to me that our work together meets (and ideally exceeds) your expectations. The terms and conditions below are intended to ensure we’re on the same page from the start.

When you hire me, you confirm that you’ve read and agreed to them. All terms and conditions apply unless otherwise agreed.

Quotes/proposals

I provide fee quotes and proposals at no cost, which may include guidance on the approach businesses take and suggested media for a project. I cannot accept liability for any action businesses take, or do not take, as a result of acting on my advice.

For complex projects, or if work is required to clarify the scope and timescale of the work, quotes and proposals are chargeable.

Quoted fees are valid for 30 days from date of submission, providing the scope of the work doesn’t change. After that, I reserve the right to alter them without notice.

Payment terms

I require full payment upfront for projects up to the value of £500 and for packages (eg multiple blog posts/case studies). This is payable within 14 days of receipt of invoice.

I require a part payment of 50% of the total fee upfront for projects with a value of £501 and above. This is payable within 14 days of receipt of invoice. The remaining fee is then due for payment on receipt of final copy (I will provide an invoice for this). Payment is on strict 14-day terms.

I typically charge for services as a retained copywriter in advance at the start of each month.

Late payment

In the event of late payment, an additional interest fee may be charged in line with the Late Payment of Commercial Debts (Interest) Act 1998.  Additionally, you will be required to pay any recovery costs I incur while chasing your payment.

Changes

Project fees include up to two rounds of corrections/revisions, after submission of the initial draft, providing that the suggested amendments fall within the scope of the agreed brief.

If you wish to change or add to the scope of the agreed brief after the project begins, additional work is charged at my current hourly rate.

Any changes must be advised within 14 days of submission of the initial draft. Changes requested after 14 days become chargeable at my current hourly rate.

Work is deemed to be completed, and a final invoice issued, if no feedback is received within 14 days of submission of any draft (unless otherwise agreed in advance).

Cancellation

If you cancel the project after it has been quoted, confirmed, booked in and scheduled, I reserve the right to charge 50% of the total agreed fee to compensate for the loss of any other work I turned down because I had booked in your work.

If you cancel the project after it has been quoted, confirmed, paid in part or in full upfront as agreed, and the project is booked in and scheduled, I charge 50% of the total agreed fee.

If you cancel the project part-way through and before submission of the initial draft, I charge 50% of the total agreed fee.

Once I have submitted an initial draft the full fee applies.

Copyright/ownership of content

Ownership and copyright of content remain with me until full payment is received when it passes to you. All monies must be paid in full before any of my words can be used. I will pursue my intellectual rights to ownership of content if it is used before full payment.

You accept all responsibility for any copyright issues which arise from the publication of content produced by us that summarises, rephrases or otherwise refers to third-party sources at your request and as part of the agreed project.

Errors, omissions and indemnity

I will make every effort to avoid errors, inaccurate implications, omissions, misrepresentations and other inaccuracies in the copy and content I produce for you but I cannot guarantee this. Please review the copy and content thoroughly before publishing or printing, as the ultimate responsibility for the copy and content rests with you.

I cannot accept responsibility or liability of any kind for any loss or damage (including liability arising from copyright infringement and libel), whether material, financial, commercial or reputational, that you incur as a result of your use of my copywriting services and counsel on this project. You agree to indemnify me against any claim for compensation or damages brought about as a direct or indirect consequence of the work I do for you and/or your organisation.

It is the sole responsibility of the client to ensure that all statements, claims, promises, information on said product or service, and guarantees are upheld in accordance with the laws of England and Wales, No claim for compensation due to loss of earnings or any other detrimental effect to your business can be made against me.

Fair dealing

Unless we agree otherwise, by working with me you grant permission for me to:

  • Refer to you as a client on my website, social media, in marketing materials, case studies and elsewhere

  • Describe, discuss, display and link to the work I have done for you

Availability

My working hours are generally Monday to Thursday, 10am-5pm, and Friday, 10am-3pm. You may contact me outside of these hours however I won’t generally reply until I return to work. The best ways to contact me are by email or in a pre-arranged video call.

Timescales

If quotes or proposals contain dates and schedule guidelines, please be aware that if you miss calls or meetings with me, are late with a payment, or fail to supply requested information by agreed dates, it may not be possible to stick to the planned schedule for the project. I cannot be responsible for deadlines missed due to circumstances completely beyond my control.

Please note that missing agreed dates may result in additional delays to a project. Workflow, the availability of third parties, weekends and holidays can all impact on timings.

If you have any questions about these terms and conditions, please get in touch.
